　　11月8日晚间，中国动力公告，公司拟通过发行可转换公司债券及支付现金的方式向中国船舶(37.510, -0.58, -1.52%)工业集团有限公司购买其持有的中船柴油机有限公司16.51%股权，并向不超过35名特定投资者发行可转换公司债券募集配套资金。公司股票将于2024年11月11日开市起复牌。

　　公司在公告中表示，本次交易将提升公司对中船柴油机的控股比例，使公司进一步聚焦主责主业，提升产业链供应链支撑和带动能力。公司曾于2022年通过实施重大资产重组，持有中船柴油机51.85%股权，本次交易完成后，将提升公司对中船柴油机的控股比例，使公司进一步聚焦主责主业，提升产业链供应链支撑和带动能力。

　　根据公告，标的公司中船柴油机在柴油机动力领域具有龙头地位。在军用柴油机领域，中船柴油机在海军中速、高速柴油机装备中处于绝对领先地位，占比超过90%。在民用低速柴油机领域，公司产品所配船舶涵盖了从散货、油轮到集装箱船等几乎所有主流船型，国内市场占有率位列第一。

　　公开资料显示，中国动力为国内海军舰船动力及传动装备的主要研制商和生产商，是船舶制造板块龙头上市公司之一。在收购标的公司中船柴油机后，公司业绩持续向好，2023年年报、2024年三季报归母净利润分别增长132.18%、80.46%；今年三季报实现营业收入366.2亿元，创同期新高。

　　回购增持再贷款潮来袭

　　近期，申请回购增持贷款的上市公司数量持续增多。据证券时报·数据宝不完全统计，目前已发布回购增持再贷款相关公告的上市公司数量已超过80家；11月以来新增33家，其中东方锆业(7.820, -0.17, -2.13%)、新诺威(27.300, 0.99, 3.76%)、古越龙山(9.280, -0.16, -1.69%)等5家上市公司计划增持，承德露露(9.080, -0.14, -1.52%)、誉衡药业(2.760, 0.06, 2.22%)、光洋股份(10.370, -0.04, -0.38%)等28家上市公司计划回购股份。

　　11月以来发布增持计划的上市公司中，以公告的拟增持金额的上限来看，东方锆业出手增持的金额最高。公告显示，公司控股股东龙佰集团(19.720, -0.38, -1.89%)拟增持金额不低于人民币1亿元，不超过人民币2亿元，资金来源为自有资金或自筹资金，包括增持专项贷款。

　　通化东宝(8.730, -0.09, -1.02%)公告显示，控股股东拟增持公司总股本1%—2%的股份，以最新收盘价来计算，公司增持金额为1.73亿元—3.46亿元。公司已取得农行吉林省分行出具的《贷款承诺函》，农行吉林省分行将为东宝集团提供增持公司股票的融资支持，贷款额度为人民币5亿元。

　　计划回购的上市公司中，中伟股份(44.030, -0.66, -1.48%)拟回购金额最高。公告显示，中伟股份拟回购金额为5亿元—10亿元，拟回购资金来源包括自有资金及兴业银行(18.700, -0.21, -1.11%)长沙分行提供的股票回购专项贷款资金，其中股票回购专项贷款资金占回购资金比例为70%，公司已收到《贷款承诺函》，贷款金额不超过7亿元。

　　从行情表现来看，11月以来，发布相关公告的个股股价普遍表现较好，月初至今平均上涨7.68%，跑赢大盘，舍得酒业(80.330, 1.81, 2.31%)、华通线缆(10.660, 0.02, 0.19%)、吉宏股份(14.960, -0.36, -2.35%)等10股累计涨幅在10%以上。其中，舍得酒业近一个月以来持续上涨，最新价较9月的股价低点已实现翻倍。

　　值得注意的是，回购再增持贷款所选标的包括多只高股息个股。

　　据数据宝统计，11月以来，发布相关公告的上市公司中，12股近12个月股息率在2%以上，仁信新材(12.380, -0.07, -0.56%)股息率最高，达到5.77%。承德露露、通化东宝、舍得酒业紧随其后，分别为4.41%、2.86%、2.66%。

　　从业绩上来看，其中10股三季报实现盈利同比增长，1股扭亏。盈利增长的公司中，禾丰股份(8.510, -0.27, -3.08%)、西子洁能(12.450, -0.10, -0.80%)、同兴达(17.550, 0.66, 3.91%)归母净利润同比增幅居前，均在300%以上。

　　机构：回购增持再贷款

　　有助于市值管理

　　多家机构认为，回购增持再贷款政策发布，有助于为上市公司提供充足的资金来源，助力上市公司市值管理工作。

　　国联证券(13.280, -0.34, -2.50%)研报认为，于上市公司及其主要股东而言，股票增持回购再贷款为其提供了低成本资金，为其进行市值管理创造了有利条件。

　　华宝证券研报认为，对于上市公司而言，充分利用“回购增持贷”推进公司股票回购、增持计划，能够有效提升自身投资价值，助力市值管理工作；此外，以现金为对价进行回购视同现金分红，通过再贷款回购能够降低2024年年报披露后因“分红指标”不达标锁定退市风险。

　　招商证券(21.340, -0.84, -3.79%)研报认为，回购增持再贷款配合近期发布的市值管理征求意见稿，将引导上市公司积极回购增持，为资本市场带来增量资金，进一步提振投资者信心，推动资本市场及央国企上市公司高质量发展。

A lorry driver who took part in an online competition says he
is still waiting for the £18,000 prize he was told he had won.  

Dafydd Bayliss has been taking part in prize draws with Level Up Giveaways for the last
three years, but this is the first time he has won.

He was given a choice of a BMW M3 or £18,000 and as a soon-to-be first-time buyer, the 31-year-old
opted for the the cash to help for a new kitchen and bathroom.



Expecting to receive the money a few days after the
draw he is still waiting three months on.

The competitions company, based in Sowerby Bridge in West Yorkshire, has
seemingly stopped paying out cash prizes with their website now suspended.


Prizes in the draw included sports cars, luxury watches and even gold, but website stopped working around
10 days before Christmas. 

Mr Bayliss, from Blackwood in Caerphilly county, south Wales, tried
his luck buying five 99p online entries for a draw on 15
September.

It was also possible to enter the competition for free by sending
a postal entry to an address in Halifax, West Yorkshire.

He said he spoke to Anton Hall, Level Up Giveaways' director, over
the phone the day after his big win.  

He added that Mr Hall, 35, was 'happy' he took the cash and told
him the money would be in his bank account within two
to three days.

After receiving occasional explanation from Mr Hall, he is still waiting on payment.


Mr Bayliss is just one of several people the BBC
has spoken that have been shunned by the competition after
being told they had won. 

'I have kind of given up,' said Mr Bayliss said.


'It was the first time I'd won and it was typical that he stopped paying everyone.


'I have just gone numb to it. I have probably got a five per cent chance
of getting the money.'

The last time Mr Bayliss has heard from Mr Hall was November 1, when he was told his bank accounts
were 'on hold'.




Mr Bayliss said he spoke to Anton Hall, Level Up Giveaways' director (pictured), over the phone the day after his
big win.

Mr Bayliss' mum Tina has since reported Level Up Giveaways to Trading Standards
and Action Fraud, who are the national reporting centre for fraud
and cybercrime in England, Wales and Northern Ireland.


She believed her son's case is 'just the tip of the iceberg'.


Scott Boyle, an insurance broker from Wakefield, said he won £1,200
in May  to be paid to him over 12 months.

After receiving five months' worth, the payments stopped in October.


Phill Harkins, from Manchester has been waiting since October 18 for a 20g
gold bar. 

While, Mark McCorry, a 36-year-old father-of-one, won £600
cash October 9. 

He said previously met people who had won cars through the
competition and therefore thought it to be 'trustworthy'.


A Trading Standards West Yorkshire spokesperson told the BBC they have received seven complaints about Level Up
Giveaways relating to prize draws. This includes allegations of unpaid winnings dating
back to 2022.

A spokesperson West Yorkshire Police added they were unable to provide a statement on inquiries
relating to named individuals.

Level Up Giveaways was set up in March 2019, according
to Companies House.  

The competition's social media pages say it has awarded more than £5million in prizes across
5,000 winners. 

In a post today on the competition's Instagram page, Mr Hall
said: 'I built this company on my own five years ago.

I have paid out millions in winnings over the years
and changed many lives for the best.

'Yes this year has been one of the worse for the company and me personally.


'I'm not going to bore you with my personal stuff because nobody is interested and
I'm sick of having to put it out there.

'I've put myself in a crazy amount of stress
and even debt trying to keep this company afloat when I should have just shut
it down years ago when it was running in the minus etc.


'I have nothing to hide hence just leaving you all to
comment and not deleting any of my social media.'




In a post today on the competition's Instagram
page, Mr Hall said: 'As for being called a scammer that is far from the truth'

He added that the website is down because the 'business
isn't running' and he was unable to keep paying
£4,000 a month to continue running it.

Mr Hall added: 'As for being called a scammer that
is far from the truth, if anything it's the complete
opposite which will come out when it needs to.

'In situations like this it's easy to forget all the good I've done but trust me this rubbish going around is not as it seems and the people who I have managed to speak to know the
full story.

'If you think I'm giving up and running away you are sadly mistaken.

'As much as this business and all my followers mean to me, my
own health and my family mean more and once I'm in a
better place I'll be able to tackle all this rubbish.'
